Welcome to CNIT Solutions. These Terms of Service ("Terms") govern your access to and use of our website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. CNIT Solutions provides enterprise technology solutions including but not limited to: • Cybersecurity platforms (Cyber X suite including EDR, NDR, SIEM, SOAR) • Enterprise Resource Planning (ERP) systems • Artificial Intelligence and Machine Learning solutions • Cloud infrastructure and managed services • IT consulting and professional services • Training and support services We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Services.

To access certain features of our Services, you may need to create an account. When registering, you agree to: • Provide accurate, current, and complete information • Maintain and promptly update your account information • Keep your login credentials confidential and secure • Notify us immediately of any unauthorized access to your account • Accept responsibility for all activities that occur under your account We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent or illegal purposes.

Subject to your compliance with these Terms and payment of applicable fees, CNIT Solutions grants you a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes. **You may:** • Access and use the Services as intended • Create accounts for authorized users within your organization • Integrate our Services with your systems as documented **You may not:** • Copy, modify, or distribute our software or content • Reverse engineer, decompile, or disassemble our products • Remove or alter any proprietary notices or labels • Use the Services to develop competing products • Share your account credentials with unauthorized parties • Exceed the usage limits specified in your subscription

All intellectual property rights in our Services, including software, designs, logos, documentation, and content, are owned by CNIT Solutions or our licensors. These Terms do not grant you any ownership rights. **Our IP:** All trademarks, service marks, and trade names are the property of CNIT Solutions. You may not use our marks without prior written permission. **Your Content:** You retain ownership of any data, content, or materials you submit through our Services ("Your Content"). By submitting Your Content, you grant us a limited license to use it solely to provide the Services to you. **Feedback:** If you provide suggestions, ideas, or feedback about our Services, we may use this feedback without any obligation to compensate you.

**Fees:** You agree to pay all fees specified in your order or subscription agreement. Fees are quoted in the currency specified and are exclusive of applicable taxes unless stated otherwise. **Payment:** Payment is due according to the terms specified in your invoice, typically Net 30. Late payments may incur interest charges and may result in suspension of Services. **Taxes:** You are responsible for all applicable taxes, except for taxes based on our net income. If we are required to collect taxes, they will be added to your invoice. **Refunds:** Except as required by law or specified in your agreement, fees are non-refundable. For subscription services, you may cancel at any time, but no refund will be provided for the remainder of the billing period. **Price Changes:** We may change our fees upon 30 days' notice. Continued use of Services after a price change constitutes acceptance of the new fees.

**Availability:** We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. **Support:** Support is provided according to the terms of your subscription or service agreement. Response times and support channels vary by service level. **Updates:** We may update our Services from time to time to improve functionality, security, or compliance. Material changes will be communicated to you. **Service Level Agreements:** Enterprise customers may have specific SLAs as defined in their contracts. In case of conflict, the specific SLA terms prevail.

**Data Processing:** We process your data in accordance with our Privacy Policy and any Data Processing Agreement between us. We implement appropriate technical and organizational measures to protect your data. **Data Ownership:** You retain all rights to Your Content. We do not claim ownership of your data and will not access it except as necessary to provide the Services or as required by law. **Security:** We maintain industry-standard security practices including encryption, access controls, and regular security assessments. You are responsible for maintaining the security of your own systems and user credentials. **Data Location:** Your data is primarily stored in UAE-based data centers unless otherwise specified in your agreement.

**Our Warranty:** We warrant that our Services will perform substantially in accordance with the applicable documentation during the subscription term. **DISCLAIMER:** EXCEPT FOR THE EXPRESS WARRANTY ABOVE, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be error-free, uninterrupted, or secure, or that any defects will be corrected. Your sole remedy for breach of the express warranty is, at our option, repair, replacement, or refund of fees paid for the non-conforming Services.

**LIMITATION:** TO THE MAXIMUM EXTENT PERMITTED BY LAW, CNIT SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. **CAP:** OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. These limitations apply to all causes of action, whether in contract, tort, or otherwise. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You agree to indemnify, defend, and hold harmless CNIT Solutions, our affiliates, and our respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: • Your use of our Services • Your violation of these Terms • Your violation of any third-party rights • Your Content or data • Your negligence or willful misconduct We will provide you with prompt notice of any such claim and reasonably cooperate with your defense, at your expense.

**Term:** These Terms are effective from when you first access our Services and continue until terminated. **Termination by You:** You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any prepaid fees. **Termination by Us:** We may terminate or suspend your access to the Services immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that may harm us or other users. **Effect of Termination:** Upon termination, your right to use the Services ceases immediately. We may delete your data after a reasonable retention period unless otherwise required by law. Sections that by their nature should survive termination will survive.

**Governing Law:** These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. **Dispute Resolution:** Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under its rules. **Venue:** Any litigation that is not subject to arbitration shall be brought exclusively in the courts of Dubai, UAE. **Class Action Waiver:** You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions.

**Entire Agreement:** These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and CNIT Solutions. **Amendments:** We may modify these Terms at any time by posting the revised version on our website. Material changes will be notified to you. Continued use after changes constitutes acceptance. **Assignment:** You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction. **Severability:** If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. **Waiver:** Our failure to enforce any right or provision does not constitute a waiver of such right or provision. **Notices:** We may send notices to the email address associated with your account.
